The investor halted the process on a red flag: part of the key technology was created before the company even existed — in the founders’ garage and partly at a university. Formally, the rights weren’t in the company.
Without a clean rights chain the investor wasn’t ready to close the round, and the founders didn’t realise the scale of the gap.
We mapped who created each key element of the technology, when, and on what basis. We identified three points where the chain was broken.
We closed the missing assignments of rights — with the founders, with a former contractor and with the university through a licence settlement — so that everything sat inside the company before closing.
The rights chain was put in order and the red flag cleared before the round closed. The company came out of the process with clean IP and templates that keep it that way going forward.
